Terms of Service
Applies to the iudexnc website (www.iudexnc.ai) and the iudexnc product application.
Draft prepared: 30 June 2026 · Effective from: 30th June, 2026
These Terms of Service (“Terms”) govern access to and use of the iudexnc website and the iudexnc product application (together, the “Service”). Please read them carefully. By using the Service you agree to these Terms.
1. Scope and acceptance
These Terms apply to two surfaces: our public website, available to any visitor, and our product application, available to authorised users at our insurer customers. By accessing the website, or by accessing or using the application, you accept these Terms. If you do not agree, do not use the Service.
2. Relationship to customer agreements
Access to the application is provided under a separate written agreement between iudexnc and the customer organisation (for example a master services agreement, order form, and a data processing agreement, together the “Customer Agreement”).
Where these Terms conflict with a signed Customer Agreement, the Customer Agreement prevails for that customer and its users. These Terms fill any gaps and govern general use of the website.
3. What the service is — and is not
iudexnc is decision-support software for legal-protection insurers. It helps a claims handler prepare a coverage check by structuring the case, identifying the applicable policy version, and surfacing the relevant clauses, exclusions and coverage dimensions, with citations and a versioned audit trail.
The Service produces a recommendation, not a decision. A qualified claims handler reviews the output and makes the final coverage decision. The Service performs no automated coverage denial.
The Service does not provide legal advice and is not a substitute for the professional judgement of a claims handler, lawyer, or other qualified person. Output may contain errors or omissions and must be reviewed before any decision or communication relies on it.
4. Eligibility and authority
The Service is intended for business and professional use. If you use the application on behalf of an organisation, you represent that you are authorised to do so and to accept these Terms on its behalf. You must be of legal age to enter into a contract.
5. Accounts and security
Application access is normally provisioned through the customer organisation. You are responsible for keeping your credentials confidential, for activity under your account, and for notifying us promptly of any suspected unauthorised use. We may suspend access where necessary to protect the security or integrity of the Service.
6. Acceptable use
You agree not to:
- use the Service unlawfully, or in breach of the Customer Agreement or applicable regulation;
- submit content you are not authorised to submit, or that infringes the rights of others;
- attempt to gain unauthorised access to the Service, other tenants’ data, or related systems;
- probe, scan, disrupt, overload or circumvent the security or rate limits of the Service;
- reverse engineer, copy, or create derivative works from the Service except as the law permits notwithstanding this restriction;
- use the Service to build a competing product, or use the output to train a model that competes with iudexnc;
- misrepresent the Service’s output as a final or automated coverage decision, or as legal advice.
7. Customer data and privacy
How we handle personal data is described in our Privacy Policy. For case content submitted to the application, iudexnc acts as processor on the customer’s behalf under the Customer Agreement’s data processing terms; the customer remains the controller. Customer data and case content remain the property of the customer or the relevant rights holders.
8. Intellectual property
The Service, including the iudexnc platform, its coverage-reasoning framework, software, models, knowledge layer, and all related intellectual property, is and remains owned by iudexnc and its licensors. We grant authorised users a limited, non-exclusive, non-transferable right to use the Service during the term of the Customer Agreement and in accordance with these Terms. The “iudexnc” name and logo are protected marks and may not be used without permission.
9. Availability and changes
We work to keep the Service available and may update, improve or change it over time. We may carry out maintenance and may modify or discontinue features. Any committed service levels, support terms or uptime commitments are those set out in the applicable Customer Agreement, which prevails over this section.
10. Disclaimers
To the extent permitted by law, the website is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that its output is complete or accurate. The output is a recommendation that requires review by a qualified person and does not constitute legal advice. Warranties relating to the application are governed by the Customer Agreement.
11. Limitation of liability
To the extent permitted by law, iudexnc is not liable for indirect, incidental or consequential loss, or for loss of profit, data or goodwill, arising from use of the website. Liability that cannot be excluded by law (including for unlawful intent or gross negligence) is unaffected. For the application, the liability regime and any caps are those set out in the Customer Agreement, which prevails over this section.
12. Term and termination
These Terms apply while you use the Service. We may suspend or terminate website access if you breach these Terms. Termination of application access is governed by the Customer Agreement. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.
13. Governing law and jurisdiction
These Terms are governed by Swiss law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of Zurich, Switzerland have exclusive jurisdiction, subject to any mandatory consumer-protection rules.
15. Changes to these terms
We may update these Terms from time to time. We will post the updated version here with a new effective date. Continued use of the Service after an update means you accept the revised Terms.
